AGREEMENT
These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Client," "Member," "you," or "your") and StratLend Wealth Academy LP, a limited partnership with its principal place of business at 14784 Winnwood Rd, Dallas, TX 75254 ("Academy," "Company," "we," "us," or "our"), with Colter Doty as General Partner.
By accessing, browsing, using, or registering on stratlend-demo.com and any related Academy websites, platforms, mobile applications, services, programs, courses, materials, or communications (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by all terms, conditions, and policies contained herein.
If you do not agree to these Terms and Conditions, you may not use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

1.5 The Academy reserves the right to refuse service, terminate accounts, or restrict access to any user who violates these Terms or engages in conduct deemed inappropriate or harmful.

2. EDUCATIONAL NATURE AND DISCLAIMERS
2.1 The Service provides educational materials, training, coaching, strategies, and guidance related to real estate wealth building and financial literacy. The Academy is not a licensed financial advisor, investment advisor, tax advisor, or attorney.

3. INTELLECTUAL PROPERTY RIGHTS

3.2 You are granted a limited, non-exclusive, non-transferable license to access and view the Service materials for your personal, non-commercial educational use only.
3.3 You may not reproduce, distribute, modify, adapt, translate, transmit, display, publish, create derivative works from, or otherwise exploit any Academy content without prior written consent from the Academy.

3.5 Your use of the Academy's branding, logos, or name for any external purpose is strictly prohibited without written authorization.

4. USER RESPONSIBILITIES AND CONDUCT
4.1 You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws and regulations.
4.2 You agree NOT to:
a) Engage in any illegal, fraudulent, or deceptive conduct
b) Violate any intellectual property rights or proprietary rights of the Academy or third parties
c) Post, upload, or transmit malware, viruses, or harmful code
d) Attempt to gain unauthorized access to the Service or its systems
e) Interfere with or disrupt the Service or its operations
f) Engage in harassment, abuse, threats, or discriminatory behavior toward the Academy or other users
g) Spam, phish, or engage in social engineering
h) Reverse engineer, decompile, or attempt to discover the source code or underlying technology
i) Use automated tools, bots, scrapers, or other mechanisms to access the Service without authorization
j) Engage in any activity that could compromise the security or functionality of the Service
4.3 The Academy reserves the right to monitor and investigate any conduct that violates these Terms or poses a threat to the integrity of the Service.
4.4 Users are solely responsible for all content they post, upload, or transmit through the Service.

5. PAYMENT, FEES, AND BILLING
5.1 All prices, fees, and charges are stated in U.S. dollars unless otherwise specified.
5.2 Payment for Academy programs, courses, coaching services, and materials is due in accordance with the payment terms displayed at the time of purchase or as otherwise specified in your enrollment agreement.
5.3 You authorize the Academy to charge the payment method you provide for all fees and charges associated with your use of the Service.
5.4 The Academy may change its pricing or fees at any time and for any reason. Changes will be communicated to users, and continued use of the Service constitutes acceptance of revised fees.
5.5 All sales are final unless otherwise specified in a particular product description or this Agreement.
5.6 Late payments may result in suspension or termination of your access to the Service without prior notice.

6. REFUND AND CANCELLATION POLICY
6.1 Unless otherwise specified in writing, all program fees are non-refundable after the initial period (if any) specified in your enrollment documentation.
6.2 If a refund period is specified for a particular program, refund requests must be submitted in writing to the Academy within the specified timeframe.
6.3 The Academy reserves the right to deny refunds for:
a) Breach of these Terms or other Academy policies
b) Fraudulent activity or misrepresentation
c) Requests submitted after the refund period has expired
d) Substantial access to or use of the materials
6.4 To request a cancellation or refund, you must contact the Academy in writing with proof of purchase and the date of purchase.
6.5 The Academy may terminate your access to the Service immediately and without refund if you violate these Terms, engage in fraudulent activity, or pose a threat to the Service or other users.

7. LIMITATION OF LIABILITY
7.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE ACADEMY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF THE ACADEMY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 The Academy's total liability for any claim arising out of or relating to these Terms or your use of the Service shall not exceed the amount you paid to the Academy in the 12 months preceding the claim.
7.3 Some jurisdictions do not allow the limitation or exclusion of liability for consequential or incidental damages, so these limitations may not apply to you.
7.4 If you are dissatisfied with the Service, your sole remedy is to discontinue use and request a refund in accordance with Section 6.

8. ASSUMPTION OF RISK
8.1 You acknowledge that real estate investment, wealth building, and financial strategies involve inherent risks, including but not limited to market risk, interest rate risk, liquidity risk, and regulatory risk.
8.2 You assume full responsibility and risk for any decisions made or actions taken based on the Academy's materials or recommendations.
8.3 The Academy is not responsible for any losses, damages, or adverse outcomes resulting from your implementation of the Academy's strategies or recommendations.
8.4 You acknowledge that no strategy is suitable for all investors, and past performance does not guarantee future results.

9. INDEMNIFICATION
9.1 You agree to indemnify, defend, and hold harmless the Academy, its officers, directors, employees, agents, successors, and assigns from any and all claims, demands, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
a) Your use of the Service or violation of these Terms
b) Your violation of any applicable law or regulation
c) Your infringement of any third-party intellectual property or proprietary right
d) Any content you post, upload, or transmit through the Service
e) Your conduct or interactions with other users

10. CONFIDENTIALITY

15. GOVERNING LAW AND JURISDICTION
15.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
15.2 You agree that any legal action, suit, or proceeding arising from or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Dallas County, Texas.
15.3 You hereby submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

16. DISPUTE RESOLUTION AND ARBITRATION
16.1 In the event of a dispute between you and the Academy, you agree to first attempt to resolve the matter through informal negotiation or good-faith discussion.
16.2 If the dispute cannot be resolved through informal negotiation, you agree to submit the matter to binding arbitration rather than pursuing litigation.
16.3 Any arbitration shall be conducted in Dallas, Texas, in accordance with the rules of the American Arbitration Association (AAA).
16.4 Each party shall bear its own costs and fees associated with arbitration, except as otherwise required by law.

17. SEVERABILITY
17.1 If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and all other provisions shall remain in full force and effect.
17.2 The Academy's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.3 In the event of any conflict between these Terms and any other agreement or documentation, these Terms shall control unless explicitly superseded by a written agreement signed by an authorized representative of the Academy.
